Associate Corporate Counsel

Job Overview
The Associate Corporate Counsel will work closely with and under the guidance of the General Counsel to advise corporate leadership and business managers on a variety of business law issues, including but not limited to contracts, business initiatives, corporate governance, and international and regulatory compliance matters. This role partners with cross-functional stakeholders to provide practical, business-oriented legal advice that balances risk mitigation with organizational objectives. The Associate Corporate Counsel may support multiple areas of the legal function, with potential focus in commercial contract management or broader corporate legal matters depending on business needs. The ideal candidate is practical and business-minded, with the ability to deliver clear, pragmatic guidance in a fast-paced, global environment.

Essential Duties and Responsibilities

  • Negotiate and review commercial contracts globally, including professional services agreements, vendor and customer agreements, and nondisclosure agreements, while advising on legal and business risk
  • Participate in contract administration and enhance existing structures and processes to improve efficiency and scalability of legal operations
  • Advise on data protection, privacy, and intellectual property provisions, laws, and related risks
  • Update and maintain corporate agreement templates for contractors, international representatives, nondisclosure agreements, and other standard documents
  • Prepare legal guidance documents and best practice resources to support business unit leaders in decision-making
  • Manage trademark and patent matters and coordinate with outside counsel on filings and ongoing support
  • Provide legal guidance on Human Resources-related compliance matters, as needed, in partnership with HR
  • Review and advise on insurance coverage and related risk considerations
  • Support subsidiary formation, governance, and ongoing compliance requirements
  • Research, analyze, and advise on a range of legal issues, including foreign law, privacy/data security, tax, and other corporate matters
  • Develop or identify training materials and deliver guidance on key legal topics, including data protection and compliance obligations
  • Collaborate with cross-functional teams to support business initiatives and ensure legal considerations are appropriately addressed
  • Work with the General Counsel to engage and manage outside counsel, as necessary
  • Contribute to continuous improvement of legal processes, tools, and practices to support a growing global organization

Minimum Qualifications

  • A Juris Doctorate and
  • 1-3 Years experience as corporate counsel or with law firm
  • Accountable, flexible, driven, and excited to roll up sleeves and dig in with this hands-on role
  • Outstanding organizational and analytical skills
  • Strong communication skills and the ability to prioritize and deliver on multiple simultaneous projects
  • A keen business sense, the skills to find creative solutions to legal issues, and the ability to effectively balance legal risks against business interests
  • Bar Admission Licensed in at least one U.S. jurisdiction

Preferred Qualifications

  • Desire and ability to interact and collaborate effectively with variety of personalities across diverse internal groups, teams, division, and cultures.

  • Professional fluency in Spanish or Portuguese

Working Remotely
SCS is recruiting all open roles to be remote; allowing our employees the ability to work flexibly and allowing SCS as a company to diversify the experience and perspectives of our growing workforce. This is a home-office based role and may include travel with local, domestic, and/or international trips. Details will be clarified during the recruitment process.

Estimated Annual Salary
$80,000 - $135,000
